1. Introductory provisions
The subject general terms and conditions of business (hereinafter referred to as "GTC") constitute an integral part of all contracts or agreements (hereinafter referred to as "Agreements") concluded between Pogodba.net, legal and business consulting, Tadej Možina, sp (hereinafter "Pogodba.net") , and the customer as users of the services and refer to each order (offer, estimate, order, contract, agreement...).
SPPs are an essential part of the Agreements concluded between Pogodba.net and the subscriber of this service, who is a legal entity or a natural person (hereinafter "the Customer").
By entering into a legal business relationship with Pogodba.net (entering into a legal business relationship is considered the acceptance of an offer, acceptance and/or confirmation of a preliminary invoice, conclusion of an agreement, signing of a power of attorney, confirmation of the service) the Customer is deemed to expressly agree to and agree to the SPP fully agree.
The Customer also expressly acknowledges that for all legal relationships between it and Pogodba.net, the Mutual Agreement and SPP and any other explicit special Agreements are used exclusively.
SPPs are kept in physical form by the holder, they are published in electronic form on the website www.pogodba.net.
2. General
The subject of the services provided by Pogodba.net are legal and business consulting services, which are related to the legal and commercial nature of the Customer's case.
The subject of the services are also:
– Unfinished drafts created at the request and in coordination with the Customer. Pogodba.net reserves the right to charge a fee of EUR 50.00/started hour for the drafting of a document or the preparation of documentation.
– Telephone legal assistance services over the phone. The price for telephone consultations is EUR 40.00 for the first half hour.
3. Prices and payment terms
The customer and Pogodba.net agree on the price when concluding the Agreement regarding the service. In doing business, Pogodba.net uses the price list published on the website, or the price calculated by the online application based on the completed form on the website and later confirmed by an authorized person of Pogodba.net.
If the price for the service is not specified or specifically agreed upon, the service is billed at a price of EUR 50/started hour. Additional services that are not explicitly specified in the offer/contract and are related to the offer (consulting, meetings, inquiries) are also billed under the same item.
If a proforma invoice is issued upon conclusion of the agreement with the Customer, the price on the proforma invoice is valid until the currency date indicated on the offer/proforma invoice.
In the event that the Customer does not confirm and settle the offer/proforma invoice by the value date, the offer/proforma invoice in question is no longer valid and is no longer binding on Pogodba.net.
In the event that during the provision of services, the scope of work increases from the planned, Pogodba.net may charge the full price of the services, provided that it informs the Customer about the increased work. If the Customer does not agree with the increased volume, Pogodba.net can immediately cancel the provision of the service, whereby the Customer pays the costs in accordance with the original agreement or without the added work. In this case, Pogodba.net has the right to stop working for the Customer in its entirety and to charge the costs that have already been incurred, if it would not make sense to continue.
Pogodba.net issues invoices with a payment term of 8 days, except in the case of a different Agreement with the Customer.
Pogodba.net is entitled to charge statutory late payment interest as well as collection costs in accordance with the Act on Prevention of Late Payments to Customers who are late with payment. These costs are not included in the enforcement costs of any legal proceedings.
In the event of the Customer's delay in payment, Pogodba.net is not obliged to provide the Customer with further services that arise or would arise from the matter. In the event that due to non-continuation of the services, the Customer would suffer significant damage, Pogodba.net performs the services and has the right to bill the Customer for these services at double the price.
In the event that the Customer is more than 30 days late with payment, Pogodba.net may withdraw from the agreement with the customer and, in addition to payment of the invoice, demand payment of the costs for the other services provided, all with legal default interest.
A customer with poor payment discipline, a blocked account or unpaid past obligations must advance all services, unless expressly agreed otherwise. The customer is obliged to inform Pogodba.net about these facts himself, otherwise he is obliged to pay a contractual penalty of EUR 500.00.
4. Rights and obligations of the contracting parties
The customer is responsible for providing complete and true data. In the event that the Pogodba.net Customer does not provide true and comprehensive information, does not submit all the necessary documentation for the provision of services, or otherwise misleads Pogodba.net, Pogodba.net may, at its discretion, terminate the cooperation/rescind the agreement and demand reimbursement of costs for work already performed. .
Legal and other documents, samples, digital services that the customer receives are the copyright work of Pogodba.net and are subject to copyright protection. The customer has the right to use the received documents for his own use and for the purpose of the concluded contract. Any misuse, use, copying, reproduction, or any other use/abuse of the subject documents for commercial or non-commercial purposes is prohibited.
For copyright infringement, Pogodba.net has the right to enforce all copyright protection rights under civil and criminal liability.
5. Duration of the agreement
The agreement is concluded for a specific service or range of services agreed with the Customer. If the duration of the Agreement is not specified, the duration applies until the end of the agreed service or withdrawal by any party. Withdrawal from the agreement must be sent by registered post or by e-mail to the e-mail address that the customer used to communicate with Pogodba.net.
In case of cancellation of Pogodba.net, the customer is obliged to refund all services already provided by the time of receipt of cancellation.
Pogodba.net is obliged to perform all prepaid services for the Customer in case of cancellation.
6. Liability
Samples, digital services, telephone consultations and other services that are not intended for individual customer treatment represent general advice and services that are not tailored to the specific Customer and his situation. The customer is expressly aware that these are general instructions and legal advice, samples, digital services that provide general information on individual legal areas.
Pogodba.net is not responsible for any damage caused to the Customer as a result of a legal opinion, sample, digital or other service that is not related to an in-depth individual consideration and study of the Customer's case or in the cases referred to in Paragraph I, Point 4.
7. Final provisions
SPP are valid from the date of their acceptance, until canceled or changed. Any change to the general conditions is valid only if it is published on the website www.pogodba.net and accessible to the Customer in the same way as these SPPs.
In the event of a conflict between the provisions of the agreement and the content of these SPP, the provisions of the agreement apply.
In any case, the Customer shall be subject to the General Terms and Conditions with which it was made aware at the time of the conclusion of the contract. In the event that, after the conclusion of the contract, the General Terms and Conditions are changed, in the relationship between Pogodba.net and the Customer who concluded the contract on the basis of the previously valid General Terms and Conditions, the amended content of the General Terms and Conditions shall apply only if Pogodba.net specifically informs the customer of the change in the General Terms and Conditions and he agrees with the acceptance of the new SPP.
Pogodba.net and the Customer undertake to resolve all potential disputes arising on the basis of these SPP or the business relationship between Pogodba.net and the Customer amicably. To the extent that this is not possible, all disputes arising from the relationship between Pogodba.net and the customer shall be subject to the exclusive application of the law of the Republic of Slovenia, and Pogodba.net and the Customer shall determine the court of jurisdiction in Ljubljana.
